1. Introduction and Acceptance

1.1 Agreement Scope

These Terms and Conditions ("Terms") constitute a legally binding agreement between CredFill ("Company," "We," "Us," "Our"), a technology-enabled compliance and credit platform, and you ("User," "You," "Your"), whether you are an individual or a representative of a business entity accessing our products and services.

1.2 Acknowledgment of Understanding

By accessing, browsing, registering with, or using any aspect of CredFill's platform—including but not limited to our WhatsApp-based Income Tax Return (ITR) filing service, AI-powered CBDO sales agent, automated compliance platform, and lending and credit distribution services—you hereby acknowledge and agree that you have:

  • Read and understood these Terms and Conditions in their entirety
  • Agreed to be bound by these Terms, including all incorporated policies
  • Confirmed you have the legal capacity to enter into binding agreements
  • Accepted all terms regardless of whether you have actually read them

1.3 Binding Nature

If you do not agree with any provision of these Terms, you must immediately cease use of CredFill's platform and services. Continued use constitutes acceptance.

1.4 Age and Capacity

You represent and warrant that:

  • You are at least 18 years of age (or the age of majority in your jurisdiction)
  • You have the legal authority to enter into these Terms
  • If you are a business entity, you are duly incorporated and authorized to bind that entity
  • All information provided during registration is accurate, complete, and truthful

2. Definitions

2.1 Key Definitions

"Account" – Your unique registration on the CredFill platform, secured by login credentials and/or WhatsApp authentication.

"Content" – Any information, data, documents, communications, or materials you upload, submit, or transmit through the platform.

"Data" – Your personal information, financial information, business information, tax documents, compliance records, KYC details, and any other information stored or processed by CredFill.

"Financial Data" – Information including but not limited to income, assets, liabilities, credit scores (CIBIL), bank account details, loan history, and related financial metrics.

"KYC Data" – Know Your Customer information including PAN, Aadhar (where applicable), identity documents, address proof, and related verification documents.

"ITR Service" – Our WhatsApp-based automated Income Tax Return filing service for individuals.

"Compliance Service" – Our automated business compliance platform handling GST, MCA, and statutory filings.

"CBDO Service" – Our AI-powered Chief Business Development Officer sales agent for B2B lead generation and sales facilitation.

"Lending Service" – Our credit distribution platform connecting borrowers with multiple lenders and loan products.

"Services" – All products, tools, features, and functionalities offered by CredFill, collectively or individually.

"Platform" – The CredFill website, mobile application, WhatsApp interface, and any other digital infrastructure through which Services are delivered.


3. Services Description and Eligibility

3.1 ITR Service (WhatsApp-based Income Tax Return Filing)

Service Scope:

  • Guided, automated questionnaire via WhatsApp for collecting relevant tax information
  • Calculation of taxable income, applicable deductions, and tax liability
  • Preparation and filing of Income Tax Return (ITR) with the Income Tax Department of India
  • Provision of filed ITR documents and acknowledgment copies
  • 24x7 access to filed documents through your CredFill Account

Eligibility:

  • Individuals with Indian income tax filing obligations
  • Minimum annual income: Rs. 2.5 lakhs (or as per current ITR filing thresholds)
  • Valid PAN (Permanent Account Number) issued by the Income Tax Department
  • Compliance with all applicable tax laws and regulations
  • Not subject to any tax litigation or show-cause notices (unless being resolved)

Exclusions:

This service is NOT suitable for:

  • Individuals with complex business structures or multiple income sources requiring detailed schedules
  • Individuals with pending tax disputes, appeals, or litigation
  • Non-resident individuals subject to special taxation rules
  • Individuals with Foreign Assets requiring FBAR or similar disclosures
  • Business entities (partnerships, companies, LLPs) – they must file through designated chartered accountants

3.2 Compliance Service (Automated Business Compliance Platform)

Service Scope:

  • GST return preparation and filing (GSTR-1, GSTR-3B, GSTR-9, and related returns)
  • MCA compliance automation (e-Form submissions, annual filings)
  • Statutory compliance tracking and reminders
  • Data storage and reuse across multiple filings
  • Form auto-population through integrated tools

3.3 CBDO Service (AI-Powered B2B Sales Agent)

Service Scope:

  • Continuous scanning of global trade portals, business directories, and online platforms
  • Identification of verified buyers based on your product/service criteria
  • Automated generation and transmission of personalized introduction emails and quotations
  • Follow-up communication and basic negotiation within predefined rules
  • Lead tracking and deal pipeline management
  • Future: AI Call Agent for real-time customer interaction and meeting scheduling

3.4 Lending Service (Credit Distribution Platform)

Service Scope:

  • Intelligent matching of borrower profiles with suitable lenders
  • Access to multiple loan products across various lender categories
  • Support for borrowers with CIBIL scores of 550+, 650+, 750+
  • Loan suitability assessment based on income, financials, and eligibility
  • Target loan approval timelines: 10 minutes to 48 hours
  • Preparation of required business documents for loan applications

4. User Registration and Account Management

4.1 Registration Process

Information Required:

To access CredFill Services, you must provide:

  • Full name (as per identity documents)
  • Date of birth
  • Valid email address
  • Mobile phone number
  • Valid PAN (for tax and lending services)
  • Address (residential and/or business)
  • Consent for WhatsApp-based communications

4.2 Account Security

Your Responsibilities:

  • You are solely responsible for maintaining the confidentiality of your login credentials
  • You must not share, disclose, or use another person's account
  • You must immediately notify CredFill of any unauthorized access or suspicious activity
  • You agree to log out of your Account when using shared or public devices

5. User Conduct and Prohibited Activities

5.1 Acceptable Use

You agree to use CredFill Services only for lawful purposes and in compliance with all applicable laws, including:

  • Income Tax Act, 1961
  • Goods and Services Tax (GST) Act, 2017
  • Companies Act, 2013
  • Foreign Exchange Management Act (FEMA), 1999
  • Prevention of Money Laundering Act (PMLA), 2002
  • Information Technology Act, 2000

5.2 Prohibited Activities

You agree NOT to:

A. Fraud and Misrepresentation:

  • Provide false, incomplete, or misleading information
  • Misrepresent your identity, business status, or financial position
  • File fraudulent tax returns or compliance documents
  • Conceal income, assets, or liabilities
  • Engage in tax evasion or regulatory circumvention

B. Unauthorized Access:

  • Attempt to hack, crack, or breach the Platform's security
  • Access another user's Account without authorization
  • Use automated tools, bots, or scraping technology to extract data
  • Reverse-engineer, decompile, or circumvent security mechanisms

6. Intellectual Property Rights

6.1 CredFill's Intellectual Property

Ownership:

All intellectual property rights (patents, copyrights, trademarks, trade secrets) in the Platform, including:

  • Software code and algorithms
  • User interface and design
  • AI/ML models powering CBDO and loan matching engines
  • Documentation, guides, and tutorials
  • Branding, logos, and marketing materials

...are exclusively owned by CredFill or are licensed to CredFill by third parties.

License Grant:

CredFill grants you a limited, non-exclusive, non-transferable license to:

  • Access and use the Platform for personal or business purposes
  • Use Services as intended by CredFill
  • Store and access your Data through your Account

7. Limitation of Liability and Disclaimers

7.1 Service "AS IS" Disclaimer

Explicit Disclaimer: CredFill Services are provided on an "AS IS" and "AS AVAILABLE" basis without warranties of any kind, express or implied. CredFill explicitly disclaims all warranties, including:

  • Accuracy and Completeness: We do not warrant that information provided by the Platform is accurate, complete, or error-free
  • Functionality: We do not warrant that the Platform will be uninterrupted or error-free
  • Non-Infringement: We do not warrant that the Platform does not infringe third-party rights

7.2 Limitation of Damages

Aggregate Liability Cap:

To the fullest extent permitted by law, CredFill's aggregate liability for any claims arising from or related to these Terms, the Platform, or Services shall not exceed:

  • The amount paid by you to CredFill in the 12 months preceding the claim, OR
  • Rs. 1,00,000 (Indian Rupees One Lakh), whichever is lower
  • Zero (Rs. 0) if you have paid nothing to CredFill

8. Indemnification

8.1 User Indemnification

You agree to indemnify, defend, and hold harmless CredFill and its officers, directors, employees, agents, and representatives from and against any and all:

  • Claims, damages, losses, liabilities, and costs (including legal fees)
  • Arising from or related to your use of the Platform or Services
  • Your breach of these Terms or any applicable laws
  • Your violation of third-party intellectual property, privacy, or other rights
  • Your Content, data, or information submitted to the Platform
  • Fraudulent or illegal activities conducted through your Account

9. Data Protection and Privacy

9.1 Governing Privacy Policies

Your use of CredFill involves collection, processing, and storage of personal, financial, and sensitive data. Data handling is governed by:

  • CredFill Privacy Policy (separate document, incorporated by reference)
  • GDPR Compliance Document (for users in EU/EEA, separate document)
  • Information Technology Act, 2000 (India)
  • Personal Data Protection Act (India, pending/enacted as applicable)
  • Reserve Bank of India (RBI) Data Protection Guidelines

9.2 Data Subject Rights

Your Rights:

  • Access to your personal data (upon written request)
  • Correction of inaccurate or incomplete data
  • Deletion of data (subject to statutory retention requirements)
  • Data portability (copy of your data in machine-readable format)
  • Objection to processing (with statutory limitations)
  • Right to lodge complaints with regulatory authorities

Submit requests in writing to our Data Protection Officer at vikash@credfill.com. We will respond within 30 days.


10. Payment Terms and Fees

10.1 Service Pricing

CredFill Services are offered on a subscription, per-transaction, or commission basis:

  • ITR Service: Rs. 499 – Rs. 999 per return (70–80% lower than market rates)
  • Compliance Service: Rs. 499 – Rs. 2,999 per month (subscription-based)
  • CBDO Service: Rs. 4,999 – Rs. 49,999 per month (based on lead volume and automation level)
  • Lending Service: Commission-based (10–20% for CredFill-sourced leads; 50–70% for self-sourced)

10.2 Refunds and Refund Policy

Refund Eligibility:

  • ITR Service: Full refund if ITR is not filed within 10 business days of payment (without fault of user)
  • Compliance Service: Prorated refund for unused months if subscription is cancelled
  • CBDO Service: Full refund within 7 days of subscription if no leads are generated
  • Lending Service: No refund as commissions are paid only upon loan disbursals

11. Dispute Resolution

11.1 Informal Resolution

Good Faith Negotiation:

If you have a dispute, complaint, or concern regarding CredFill Services, you agree to:

  • First attempt resolution through informal discussion
  • Notify CredFill in writing (email to contact@credfill.com) within 30 days of the issue
  • Provide complete details: transaction ID, date, nature of complaint, desired resolution
  • Cooperate with CredFill's investigation

11.2 Escalation Mechanism

If informal resolution is unsuccessful, the following escalation applies:

Each level must be given 10 business days to respond before escalating.

11.3 Arbitration

Arbitration Clause:

Any dispute, claim, or controversy arising from or related to these Terms, the Platform, or Services that cannot be resolved through negotiation shall be settled by binding arbitration in accordance with the Arbitration and Conciliation Act, 1996, on the following terms:

  • Seat of Arbitration: Patna, Bihar, India
  • Jurisdiction: Indian law and courts
  • Number of Arbitrators: Single arbitrator (in cases involving less than Rs. 20 lakhs); Three arbitrators (for larger claims)
  • Language: English and/or Hindi
  • Venue: Patna, Bihar, or as agreed by parties

11.4 Jurisdiction and Governing Law

Governing Law:

These Terms and all disputes shall be governed by and construed in accordance with the Laws of India.

Jurisdiction:

Non-exclusive jurisdiction of Patna District Courts and High Court of Patna. You consent to personal jurisdiction in these courts. Venue is established in Patna, Bihar, India.


12. Term, Termination, and Survival

12.1 Term of Agreement

Effective Date: January 07, 2026

Duration: These Terms remain effective indefinitely unless terminated by either party as provided below.

12.2 Termination by User

You may terminate your Account and cease using CredFill Services at any time by:

  • Submitting a written termination request to contact@credfill.com
  • Providing 30 days' notice (except for per-transaction services like ITR, which terminate upon completion)

12.3 Survival

The following provisions survive termination:

  • Section 6 (Intellectual Property Rights)
  • Section 7 (Limitation of Liability and Disclaimers)
  • Section 8 (Indemnification)
  • Section 9 (Data Protection and Privacy)
  • Section 11 (Dispute Resolution)
  • Any provisions related to payment of outstanding fees or liabilities

13. Miscellaneous

13.1 Entire Agreement

These Terms, along with the following incorporated documents, constitute the entire agreement between you and CredFill:

13.2 Amendment and Modification

CredFill's Right to Amend:

CredFill reserves the right to modify these Terms at any time. Modifications are effective:

  • Upon posting on the CredFill website or Platform
  • Immediately for security, fraud, or legal compliance changes
  • With 30 days' notice for material non-security changes
